1. The fine print
SpeedTeach a/s located at Vestre Havnepromenade 5, DK-9000 Aalborg, Denmark, is
the name of the company that provides the SpeedTeach e-learning courses. SpeedTeach
operates under European Union VAT number DK 27 52 40 87.
When using any of the SpeedTeach products or services, please remember that the
most recently updated version of these terms of services, available at
www.speedteach.com always applies.
If the law of your country prohibits you from using our products because you’re
under an age limit, or because our products are not allowed in your country, it
is your responsibility to ensure that you don’t use them.
Before using any of the SpeedTeach products or services, please make sure you have
read and agreed to the TermsOfUse of Use and the Privacy Policy.

2. What you should and should not expect from us
The following should be your expectations when you use SpeedTeach. SpeedTeach will
have no liability whatsoever for any of the following:
Quality
Quality SpeedTeach will do its best to provide SpeedTeach products with a minimum
of disruptions. However please understand that SpeedTeach cannot guarantee that
its SpeedTeach products will always function without disruptions, delay or other
imperfections. Since SpeedTeach products will be transmitted through public Internet
lines, there can be power outages or Internet service disruption and you could experience
some disruptions in SpeedTeach products, e.g. packet loss or a delay that will interfere
with the quality of our services.
Technical improvement and maintenance
SpeedTeach may change its technical features in order to keep pace with the latest
demands and technological developments or to comply with relevant regulations. SpeedTeach
may also repair, improve, and/or upgrade its products and this may lead us to restrict,
limit, suspend, interfere and/or interrupt SpeedTeach products as necessary.

3. What we expect from you
Information
You will be required to provide SpeedTeach in good time with any data or information
necessary for the proper provision of SpeedTeach services.
Indemnity
You agree to indemnify SpeedTeach and its affiliates against any third-party claims
incurred by SpeedTeach arising out of or relating to your violation of these Terms
of Service, applicable law or rights of any third parties related to the use of
our products.
Payment Issues, Course Activation Codes
To use payable SpeedTeach products you need buy a Course Activation Code from your
reseller or directly on the SpeedTeach site. If you choose to buy the Course Activation
Code directly from the SpeedTeach site, you will need to use one of the supported
credit or debit cards. SpeedTeach reserves the right to stop accepting debit or
credit cards from one or more issuers. When a Course Activation Code has been activated
it gives the user period-limited access to the related SpeedTeach course.
Payment Issues, Teaching Tokens
In order to become a SpeedTeach Reseller, you need to sign the Reseller Agreement.
You will then have the ability to buy Teaching Tokens using one of the supported
credit or debit cards. You can exchange Teaching Tokens for Course Activation Codes
which you can sell to your customers or use for your internal training.
Restrictions
SpeedTeach does not guarantee that you will be able to use your Teaching Tokens
to purchase all SpeedTeach products. Certain SpeedTeach products may have to be
paid for separately.
Credit expiration
A Teaching Token credit balance in your Reseller account expires 360 days after
purchase. Credit balances that are not used within this 360 day period will be lost.
Refund policy
You can request a refund for unused SpeedTeach product or service up to 30 days
after date of purchase, by submitting a support request to Customer Support. Refund
requests carried out through other means shall not be eligible for a refund. Refunds
shall only be given for products that are directly acquired online from SpeedTeach,
and will not be given for those acquired by other means, e.g. vouchers or Course
Activation Codes purchased at a Reseller.
SpeedTeach reserves the right to deny repetitive refund requests (more than once
for any given type of SpeedTeach product). Upon a duly submitted refund request,
SpeedTeach will refund your unused purchased product or service within 14 days.
All refunds shall be paid either through the original payment method used, or any
other reasonable payment method determined by SpeedTeach, and will be addressed
to the person or the company that deposited the credit initially.
Furthermore, SpeedTeach will refund any purchased and unused product. Any abuse
by you of the terms relating to refunds hereunder shall lead to the termination
of this agreement.
Tax
25% Danish VAT generally applies if you are located in the EU and if you don’t have
a VAT registration number. Local taxes may apply in certain countries.
Incorrect charges
In the event you believe that SpeedTeach has charged you in error, you must contact
SpeedTeach’s customer service department at
 within 30 days after such a charge. No refunds will
be given for any charges which are more than 30 days old.

4. SpeedTeach’s liability to you
Limitation of liability
In the event of SpeedTeach being in breach of any of its obligations towards you
under these Terms of Service, SpeedTeach will accept liability to pay damages only
to the extent detailed below: SpeedTeach can only be held liable for direct damages
resulting from an attributable failure to perform its obligations under these Terms
of Service. Direct damages in this respect exclusively mean all reasonable costs
incurred by you in order to (i) have SpeedTeach perform its obligations under the
Terms of Service or (ii) to prevent or limit such costs.
To the maximum extent permitted by applicable law, SpeedTeach shall not be liable
for any indirect, special, incidental or consequential damages whatsoever, including
but not limited to: damages for loss of profits or confidential or other information;
for business interruption; for loss of privacy arising out of or in any way related
to the use of or inability to use the SpeedTeach products, even if SpeedTeach has
been advised of the possibility of such damages.
Direct damages, as meant in this article, shall be limited to the amount actually
paid by you for the SpeedTeach product or service being effected.
In no event, however, shall the total compensation for any direct damages exceed
5,000 USD, unless the loss is due to SpeedTeach’s willful default or gross negligence.
Jurisdiction Limitations
As some jurisdictions do not allow some of the exclusions or limitations as established
above, some of these exclusions or limitations may not apply to you. In that event
the liability will be limited as far as legally possible under the applicable legislation.
Force Majeure
You acknowledge and understand that if the SpeedTeach products do not function as
a result of a force majeure event, SpeedTeach will not be in breach of any of its
obligations towards you under these Terms of Service. A force majeure event means
any event beyond the control of SpeedTeach. In the event that SpeedTeach is affected
by a force majeure event, it shall promptly notify you of the estimated extent and
duration of its inability to perform or delay in performing its obligations, on
a reasonable effort basis. SpeedTeach will not accept any liability for the consequences
arising out of a force majeure event.

5. How long does your agreement with SpeedTeach last?
Duration
The agreement will be effective as of the date of your acceptance thereof or as
of the date of your first use of any SpeedTeach products and will remain effective
until terminated by either party.
Termination
Without limiting other remedies, SpeedTeach or its affiliates may limit, suspend,
or terminate your use of SpeedTeach products, prohibit access to SpeedTeach’s website,
remove hosted content, and take technical and legal steps to keep you off SpeedTeach’s
website if we think that you are in breach of these Terms of Service, creating problems,
possible legal liabilities, acting inconsistently with the letter or spirit of our
policies, infringing someone else’s intellectual property rights, engaging in fraudulent,
immoral or illegal activities, if you purchased SpeedTeach credit from an unauthorized
reseller, or for other similar reasons, with immediate effect and without recourse
to the courts. SpeedTeach shall effect such termination by preventing your access
to your account and to SpeedTeach services. If you provided a valid email address,
SpeedTeach may provide notice to you by email.
All provisions which must survive in order to give effect to their meaning shall
survive any expiration or termination of the agreement, including without limitation,
all of your representations, warranties and indemnification obligations.
Update
SpeedTeach reserves the right to modify these Terms of Service at any time by publishing
the revised Terms of Service on the Website, which shall become effective within
thirty (30) days of the date of publication, unless you expressly accept the revised
Terms of Service earlier by clicking on the accept button. Your continued use of
the SpeedTeach products after expiry of the 30-day period shall constitute your
acceptance to be bound by the terms and conditions of the revised version of the
Terms of Service. If you do not wish to accept these revised Terms of Service, you
are entitled to terminate your account, in writing or by e-mail to
, with effect from the date on which the revised Terms
of Service would become effective. You can find the latest version of these Terms
of Service at www.SpeedTeach.com.

6. Miscellaneous
Entire Agreement
These Terms of Service constitute the entire agreement between you and SpeedTeach
with respect to the subject matter of this agreement, and will supersede and replace
all prior understandings and agreements, in whatever form, regarding the subject
matter.
Partial Invalidity
Should any term or provision hereof be deemed invalid, void or enforceable, the
remainder of these Terms of Service shall nonetheless remain in full force and effect.
No waiver
If SpeedTeach does not take action against a breach of these Terms of Service, it
does not mean that it waives this right at a later time to enforce the same.
Assignment
You are not allowed to assign this contract or any rights hereunder. SpeedTeach
is allowed to, at its sole discretion, assign this contract or any rights hereunder
to any third party, without giving prior notice.
Applicable law and competent Court
The agreement shall be governed by and construed in accordance with the laws of
Denmark without giving effect to the conflict of laws or provisions of Denmark or
your actual state or country of residence, and without prejudice to the applicable
mandatory laws of your country of residence. Disputes arising from the use of SpeedTeach
products or services shall be settled according to Danish law ath the Cour of Aalborg,
Denmark.
Language
The original English version of this agreement may have been translated into other
languages. In the event of an inconsistency or discrepancy between the English version
and any other language version of this agreement, the English language version shall
prevail.
